General Terms and Conditions of Business


Basic Provisions

The following terms and conditions apply to contracts concluded between you and us as a provider (Purpx) via the website https://purpx.com. Unless otherwise agreed, we expressly reject the inclusion of any terms and conditions you may have used.

A consumer in the context of these provisions refers to any natural person entering into a legal transaction for purposes not predominantly attributed to their commercial or independent professional activity. An entrepreneur refers to any natural or legal person or partnership with legal capacity acting in the exercise of their independent professional or commercial activity when entering into a legal transaction.


Conclusion of the Contract

The subject of the contract is the sale of goods.

By placing a product on our website, we make you a binding offer to conclude a contract under the conditions specified in the product description.

The contract is concluded through the online shopping cart system as follows:

  1. The goods intended for purchase are placed in the shopping cart.
  2. You can review and modify the contents of the shopping cart at any time.
  3. After proceeding to checkout and entering your personal data, payment details, and shipping preferences, an overview of your order is displayed.
  4. If you use an instant payment system (e.g., credit card or digital wallet), you will either be directed to our order confirmation page or to the payment provider’s site for final processing.
  5. By clicking the “Order with Payment” button, you submit a legally binding acceptance of our offer, and the contract is concluded.

If you request a quote outside of the online shopping cart system, we will provide a binding offer in text form (e.g., via email) that you can accept within five days.

Order processing and communication are partially automated via email. Ensure that your provided email address is correct and capable of receiving messages without interference, such as spam filters.


Right of Retention and Retention of Title

You may only exercise a right of retention if it pertains to claims from the same contractual relationship.

The goods remain our property until the purchase price is paid in full.

For entrepreneurs, the following additional provisions apply:

  • We retain ownership of goods until all claims from the ongoing business relationship have been settled in full.

  • If goods are combined or mixed, we acquire co-ownership of the new item proportional to the value of our goods relative to the other processed items.

Warranty

The statutory rights of liability for defects apply.

For Consumers:
We recommend inspecting the delivered items immediately for completeness, defects, or damage during transport and notifying us or the carrier of any issues promptly. Failure to do so does not affect your statutory warranty claims.

For Entrepreneurs:

  • Warranty claims are limited to our own product descriptions or the manufacturer’s specifications, not public statements or advertising.
  • We may choose to provide warranty service through repair or replacement. If the defect persists after two failed attempts at resolution, you may request a price reduction or withdraw from the contract.
  • Warranty claims are valid for one year from delivery, excluding claims for damage to life, health, or gross negligence.

Choice of Law, Place of Performance, and Jurisdiction

The laws of [your country] apply. For consumers, this applies only if it does not override protections provided by mandatory provisions of the consumer’s country of residence.

For entrepreneurs, the place of performance for all obligations and the place of jurisdiction is our registered office unless otherwise legally required.

The provisions of the UN Convention on Contracts for the International Sale of Goods (CISG) do not apply.

We only enter into contracts with customers who have reached the legally required minimum age when purchasing items subject to youth protection laws.

By placing an order, you confirm that you meet the legal age requirements and that all provided information is accurate. Deliveries requiring age verification will only be handed over to individuals meeting these requirements.

If orders are placed using false age information, the contract is void under applicable laws, and adults responsible for minors providing false information may be held liable for resulting damages.
